Position Summary

TeraWulf is seeking an experienced tax professional to lead state and local tax strategy across its growing portfolio of large-scale digital infrastructure and energy campuses.

This individual will serve as the company’s principal internal expert on property tax, sales and use tax, utility and energy-related taxes, economic development incentives, abatements and other state and local tax matters.

Working closely with Development, Finance, Legal, Operations and External Affairs, this role will ensure tax considerations are incorporated into site selection, project structuring, customer agreements, capital investment decisions and community engagement from the outset.

The successful candidate will bring sophisticated, proactive tax expertise to the significant exposures and opportunities created by TeraWulf’s multi-billion-dollar investments in data centers, electrical infrastructure, power generation and related assets.

Key Responsibilities

State & Local Tax Strategy

· Serve as TeraWulf’s primary internal expert on state and local taxation across existing and prospective campuses.

· Develop comprehensive tax profiles for new projects and expansions before material capital commitments are made.

· Model long-term property, sales and use, utility, gross receipts and other state and local tax obligations.

· Evaluate ownership, leasing, financing and entity structures to optimize project economics.

· Advise executive leadership on material tax exposures, opportunities and policy developments.

Property Tax

· Own property tax strategy across TeraWulf’s portfolio.

· Evaluate the taxable treatment and valuation of land, buildings, electrical infrastructure, generation assets, cooling systems, servers and other machinery and equipment.

· Develop forward-looking property tax forecasts as projects are constructed and capital is deployed.

· Manage relationships with assessors and taxing authorities and lead valuation negotiations, appeals and challenges as appropriate.

· Identify opportunities for abatements, negotiated assessments, PILOTs and other available mechanisms.

Sales & Use Tax and Incentives

· Evaluate sales and use tax treatment of construction, equipment procurement and major capital expenditures.

· Identify and implement available data center, manufacturing, energy, construction and equipment exemptions.

· Identify, negotiate and manage state and local economic development incentives, including abatements, exemptions, PILOTs, industrial revenue bonds, grants and infrastructure support.

· Track and manage ongoing compliance obligations associated with incentive agreements.

Project Development & Commercial Support

· Participate in site diligence and project development from the earliest stages.

· Advise Development and Legal on the tax implications of land ownership, leases, power arrangements, equipment ownership, joint ventures and customer agreements.

· Evaluate the allocation of tax obligations among TeraWulf, customers, landlords, utilities and other counterparties.

· Support acquisitions, dispositions, joint ventures and other strategic transactions.

Fiscal Impact & External Positioning

· Develop clear and supportable estimates of the fiscal impact of TeraWulf projects on host communities.

· Quantify projected tax revenues to counties, municipalities, school districts and other taxing jurisdictions.

· Distinguish clearly between gross tax generation, incentives received and net fiscal benefits.

· Partner with External Affairs, Legal and Development to ensure tax-related statements used in regulatory proceedings, customer diligence, government relations and community engagement are accurate and defensible.

Legislative & Regulatory Monitoring

· Monitor proposed state and local tax legislation, regulations and ordinances affecting data centers and energy infrastructure.

· Proactively assess changes to property tax, sales and use tax, data center taxes, utility taxes and incentive programs.

· Coordinate with Legal and External Affairs where proposed tax policy could materially affect existing or planned projects.

Compliance & Risk Management

· Oversee state and local tax compliance across operating jurisdictions.

· Lead examinations, audits and inquiries from taxing authorities.

· Maintain documentation supporting material tax positions, exemptions and incentive arrangements.

· Manage external tax advisors, valuation consultants and other specialists.

· Coordinate with Finance and Accounting on tax provisions and financial reporting as appropriate.

Qualifications

· 10+ years of progressive state and local tax experience.

· Deep expertise in property tax, sales and use tax and economic development incentives.

· Significant experience advising on large capital investment projects.

· Experience in data centers, energy, utilities, infrastructure, manufacturing, industrial real estate or another capital-intensive industry strongly preferred.

· Demonstrated experience working with assessors, taxing authorities, economic development agencies and other governmental stakeholders.

· Strong understanding of property valuation, exemptions, abatements and incentive structures.

· Ability to model and evaluate long-term project tax economics.

· Strong commercial judgment and ability to communicate complex tax matters clearly to senior executives and non-tax professionals.

· CPA, JD, LLM, MST or similar advanced qualification preferred.

· Big Four, national accounting firm, law firm or specialized SALT advisory experience strongly preferred.

· Clear and comprehensive tax strategies for each TeraWulf campus.

· Early incorporation of tax considerations into development and investment decisions.

· Accurate forecasting and active management of state and local tax exposure.

· Identification and capture of available exemptions, abatements and incentives.

· Effective property tax valuation and assessment management.

· Accurate and defensible analysis of project fiscal benefits.

· Proactive identification of tax policy risks and opportunities.

· Development of a scalable tax framework supporting TeraWulf’s continued growth.

Compensation & Benefits

The anticipated base salary range for this position is $[225,000–$275,000], depending on experience and qualifications. This position is also eligible for an annual performance-based bonus, equity-based compensation and TeraWulf’s employee benefits programs.
