CFO

CFO Job Description

We are seeking an experienced CFO to join our executive team. This position will report directly to CEO and working closely with other executives. He will be responsible for overseeing all financial functions, driving financial and tax planning, managing investor relationships, exploring M&A opportunities and providing strategic guidance to support the company's growth objectives.

Requirements：

1. Bachelor's degree or above in Finance, Economics or Business Administration related field.
2. Proven 20+ years of experience in a senior financial leadership role, preferably within the semi-conductor or technology industry.
3. Familiarity with NASDAQ stock market operations and SEC regulations, including reporting requirement and compliance standards.
4. In-depth knowledge of the ecosystem of Wall Street investors, including analysts, institutional investors, and investment banks.
5. Strong understanding of financial planning and analysis, strategic financial management, and M&A processes.
6. Fluent in English & Mandarin. Excellent analytical, communication, and interpersonal skills, with the ability to influence and collaborate effectively across all levels of the organization.
7. High integrity, ethics, and professionalism, with a commitment to upholding the highest standards of financial governance and compliance.

Job Responsibilities：

1. Financial Planning and Analysis:
   • Develop and oversee financial planning processes.
   • Provide insightful analysis of financial performance and key metrics to drive decision-making
   • Monitor financial KPIs and trends to identify opportunities for improvement and mitigate risks.
2. Strategic Financial Management:
   • Collaborate with the executive team to develop and execute strategic initiatives aligned with the company's goals and objectives.
   • Provide strategic financial guidance and recommendations to support business expansion, product development, and market penetration efforts.
   • Assess and manage financial risks, ensuring compliance with regulatory requirements and best practices.
3. Investor Relationships:
   • Serve as the primary contact for investors, analysts, and other stakeholders, representing the company's financial performance and growth prospects.
   • Cultivate and maintain relationships with Wall Street investors, including analysts, institutional investors, and investment banks, to enhance the company's visibility and attractiveness to the investment community.
   • Prepare and deliver clear, concise communications, including quarterly earnings releases, investor presentations, and annual reports.
4. SEC Compliance and Reporting:
   • Ensure compliance with SEC regulations, including reporting requirements, disclosure obligations, and corporate governance standards.
   • Coordinate with legal and regulatory teams to address any compliance issues or inquiries from regulatory authorities.
   • Stay informed about changes in NASDAQ listing rules and regulations, proactively implementing necessary adjustments to ensure continued compliance.
5. Mergers and Acquisitions (M&A):
   • Identify and evaluate potential M&A opportunities to support strategic growth objectives and enhance shareholder value.
   • Develop detailed financial models and perform scenario analysis to evaluate the financial impact of proposed M&A transactions.
   • Provide insightful information and recommendations to the executive team and board of directors to support decision-making regarding M&A transactions.
