Role Overview
We are looking for a Fractional/ Part-time Chief Financial Officer (CFO) to join our executive team. The CFO will be managing activities during the Company’s CIRO membership application review phase, and once the Company is accepted as a CIRO member, overseeing and be responsible for the financial and operational rules as well as managing reporting requirements. Commitment can range between 3-10 hours per week, from September 2026 to September 2027.
The CFO plays a critical role in driving financial strategy, ensuring the company's financial health, and aligning financial goals with overall business objectives. This includes managing financial planning and analysis, budgeting, forecasting, enterprise risk management, and ensuring compliance with regulatory requirements.
Responsibilities and Duties
The responsibilities and expectations of the CFO are outlined below:
CIRO member related Regulatory Responsibilities
- Regulatory Compliance: Be responsible for the Dealer’s compliance with CIRO’s financial and operational rules, supporting the Dealer’s role in ensuring investor protection.
- Financial Policies & Procedures: Establish and maintain policies and procedures for the Dealer relating to CIRO’s financial requirements.
- Compliance Monitoring: Monitor adherence to the Dealer’s policies and procedures to provide reasonable assurance that the Dealer complies with CIRO’s financial requirements.
- Capital Usage Limits: Identify any breaches of approved capital usage limits and report them in accordance with applicable CIRO requirements (IDPC Rule 4116).
- Escalation to the UDP: Promptly report to the Ultimate Designated Person (UDP)/ President and CEO any indication that the Dealer, or any individual acting on its behalf, may be in non-compliance with CIRO’s financial requirements where the non-compliance creates a reasonable risk of harm to a client or to the capital markets, or is part of a pattern of non-compliance.
- Executive Engagement: Participate in executive management meetings and inquire about and review relevant contracts, ongoing liabilities, future commitments, and operational matters that may impact the Dealer’s balance sheet and capital position.
- Access to Books & Records: Maintain unrestricted access to the Dealer’s books and records and remain apprised of all relevant commitments under consideration, including contracts under negotiation and corporate finance transactions in progress.
- Ongoing Communication: Whether working on-site or off-site, remain in regular communication with the Dealer and stay current on management and financial matters, devoting additional time to the Dealer as needs and situations arise.
Cross-Functional Collaboration
- Strategic Business Partner: Collaborate with Executive and Management team to align financial strategies with the company’s broader business goals.
- Business Development Support: Drive major commercial efforts by fostering strategic partnerships and collaborations that expand the business.
Leadership/Supervisory Role
- Team Leadership: Lead and mentor the finance team, fostering a culture of high performance and continuous improvement.
- Financial Operations Oversight: Oversee financial operations, ensuring accuracy, compliance, and efficiency across all financial activities.
- Board Engagement: Serve as a key point of contact for the board on financial matters, ensuring clear, insightful communication of the company’s financial health and strategy.
- Executive Leadership: Act as a trusted advisor to the CEO and executive leadership team, providing financial insights and guidance on critical business decisions.
Knowledge & Expertise
- Financial Acumen: Extensive knowledge in financial planning, financial reporting (IFRS and U.S. GAAP), and capital management.
- Industry Expertise: Stay updated on industry trends and market developments to anticipate financial impacts and opportunities.
- Regulatory Compliance: Ensure the company meets all financial regulations and reporting requirements, including tax compliance, audits, and governance.
- Technology & Systems: Experience with NetSuite is an asset.
Qualifications and Skills
Education
- Bachelor’s Degree: Required in finance, accounting, economics, or a related field.
- Professional Certification: CPA, CFA, or similar financial certifications are required,demonstrating advanced knowledge of financial management.
- CFO Qualifying Examination: successfully passed the Chief Financial Officers Qualifying Examination (CFO)
Experience
- CIRO Approval: Must have previously qualify for and obtain CIRO approval as a Chief Financial Officer for dealer member
- Financial Leadership: Minimum of 8 years in senior financial leadership roles, with a proven track record as CFO, VP of Finance, or similar positions.
- Cryptocurrency & Blockchain: Experience working in or with cryptocurrency, blockchain technologies, or fintech, with some understanding of digital assets and their regulatory landscape.
Communication Skills
- Financial Reporting: Ability to present complex financial data and strategies clearly to both financial and non-financial stakeholders, including board members and investors.
- Strategic Communication: Strong verbal and written communication skills, with the ability to influence executive decision-making and build consensus across cross-functional teams.
- Investor Relations: Experience engaging with investors, providing transparency, and communicating financial health, growth opportunities, and business risks.
Technology/Software
- Cryptocurrency Platforms: Familiarity with cryptocurrency exchange platforms, wallets, and blockchain-based technologies.
- Financial Software: Proficient in advanced financial management software, NetSuite or similar system, along with Excel and Financial modeling tools.
- Data Analytics: Ability to leverage data analytics platforms and technologies to gain insights into financial performance and cryptocurrency market trends.
