What is the opportunity?
As Managing Counsel, you will lead a team of lawyers as a senior member of RBC’s Procurement Legal Team. This is a unique opportunity to enter into a role that provides strategic legal advice and guidance to Royal Bank of Canada and its global subsidiaries with respect to critical and high risk third party procurement transactions, with an emphasis on SaaS, AI, professional services and consulting arrangements. You will also work closely with senior leaders in procurement and the business to advise on issues of contract interpretation, legal risks and mitigation strategies as a part of new or ongoing third party supplier relationships. You will also support and mentor junior members of the Procurement Legal Team.
What will you do?
Lead and mentor a group of senior and junior lawyers;
Provide strategic legal advice to RBC’s global procurement team and business partners on contract interpretation, supplier disputes, legal risks and mitigation strategies associated with third party contracts, and general supplier engagement and relationship issues;
Lead negotiations of complex third-party transactions involving technology and non-technology products, intellectual property licensing, information systems and services (including software, SaaS. AI and data license agreements, professional services, outsourcing arrangements, subscription)) while supporting RBC’s commercial objections and operational needs;
Collaborate with cross-functional partners including Third Party Risk, Tax, Model Risk and Privacy to develop templates and procedures;
Stay abreast of applicable third party and transactional laws, regulations and guidance; and provide training to business and functional partners as needed.
What do you need to succeed?
Must-have
Law degree (LLB or JD) from a recognized law school;
Valid license to practice law in the jurisdiction where you will work;
10+ years’ experience in corporate commercial contract drafting and negotiating at a top tier law firm or major corporation;
Demonstrated experience drafting, reviewing and negotiating complex commercial agreements;
Strong communication skills (written and verbal) and ability to interact with executive leadership and build relationships across multiple areas of the business;
Ability to work with a high degree of autonomy, handle large volumes of work and balance competing demands; and
Ability to assess legal risk, identify mitigating strategies, and interpret those for distribution to business clients.
Nice-to-have
In-house experience at a large, multi-national bank or diversified financial institution or experience representing large, multi-national bank or diversified financial institutions as external counsel.
Experience leading a legal team.
Understanding of regulations applicable to financial institutions as they relate to third party engagements (e.g., privacy/cybersecurity, anti-money laundering, consumer banking);
