Job Description:

 

The VP, Internal Audit Manager manages across all business lines to assist in the development and implementation of an effective Internal Audit Plan throughout the institution. Under the guidance of the Audit Committee and Chief Risk Officer, the Internal Audit Manager (IAM) assists in the development of risk-based audit plans and coordinates operational audits to evaluate the effectiveness of internal controls.  The IAM oversees audits to determine compliance with applicable regulations, as well as bank policies and procedures.  The IAM is responsible for managing SOX testing performed in connection with the organization’s financial audits.  The IAM is responsible for monitoring and verifying the follow-up process on all issues raised in the course of regulatory examinations and internal and external audit reviews.  The IAM serves as the Bank’s liaison with regulatory agencies in preparation for and during examinations and coordinates and QC’s the Bank’s responses to regulatory information and data requests. The IAM makes recommendations to senior management to increase the overall effectiveness of the control environment.  The IAM works with all levels of management and staff within the Bank. 

Responsibilities

Responsibilities:

  • Plan and direct the ongoing daily activities of the Internal Audit Program.
  • Work with internal audit vendors to develop multi-year audit plans, reassessing and updating at least annually, and present to the Audit Committee for approval.
  • Develop and monitor the annual audit schedule to support the Audit Plan as approved by the Audit Committee. Update and adjust schedule quarterly as risks and/or results warrant.  Manage and monitor audit resource allocation and report resource needs to the Audit Committee.
  • Manage and oversee audits, ensuring audits are performed according to plan/scope on a timely basis, and review work papers as appropriate.
  • Participate in formal exit meetings with applicable managers and department heads.
  • Maintain the Issues Tracking system, ensuring that it is updated to reflect all newly issued audit comments and management’s responses as well as to reflect any status updates received from management. Report volume of open issues, past due issues, and high-risk issues to Risk Management Committee and Audit Committee quarterly.  Manage and oversee the validation of closure of moderate and high-risk issues by examination evidence submitted by business line management for adequacy.
  • Compile and organize Audit Committee meeting packages.
  • Draft Audit Committee meeting minutes for review and approval by the Audit Committee.
  • Manage the engagement of third-party partners for both internal and regulatory audits at bank and mortgage company levels. Analyze current service levels provided and develop Requests for Proposals as necessary to make the Audit Program more effective.  Responsible for reviewing proposals for adequacy of scoping, partner firm and individual qualifications, methodology, and costs, and making engagement recommendations to the Audit Committee.
  • Maintain records of all points raised and recommendations by regulatory agencies.
  • Serve as primary liaison for all regulatory examinations, including FDIC and Massachusetts Division of Bank’s Safety & Soundness and Compliance/CRA examinations, as well as Federal Reserve’s inspections of the Bank’s holding company. Manage the coordination of examination requests and secure delivery to regulatory bodies. 
  • Coordinate and oversee SOX testing in connection with the Organization’s financial audits. Partner with the Business Units to ensure accuracy, completeness and effectiveness of control descriptions.
  • Keep abreast of industry activity and regulatory developments in auditing and control techniques. Attend various audit and regulatory workshops and seminars.  Recommend procedural changes as needed to support prescribed requirements.
  • Conduct special audits or projects at the request of the Audit Committee or senior management, as appropriate.
  • Coordinate the gathering of audit related requests for the external financial auditors, including but not limited to SOX testing documentation, additional sample documentation, and minutes, and provide assistance to external financial auditors as needed.
  • Participate in various bank management committees to keep abreast of current bank activities, changes to policy/procedures, processes or systems.

 

OTHER ACCOUNTABILITIES/RESPONSIBILITIES:

 

Perform related and unrelated duties as directed by the Audit Committee, including but not limited to:

  • Investigate internal fraud, insider abuse, and/or insider wrongdoing allegations/suspicions.
  • Coordinate any whistleblower investigations.
  • Manage response to and compliance with sensitive subpoena requests.
  • Serve as the Bank’s regulatory liaison for sensitive investigations.
  • Manage or participate in ad hoc projects requiring discretion, confidentiality and an ability to integrate bank operations and compliance requirements.
  • Consult with business lines on operational and compliance matters as requested.
  • Maintain positive relationships with regulators and industry and community leaders through networking and training opportunities.

Qualifications

  • Maintain an excellent understanding of applicable laws and regulations.
  • Understanding of Audit methodology and industry frameworks.
  • Maintain an up to date understanding of Bank policies and procedures.
  • Advanced knowledge of banking regulations and operations particularly related to risk management, SOX requirements, and both Safety & Soundness and Compliance regulations.
  • Ability to write detailed but concise analysis on a variety of banking areas and prepare Board-level presentations.
  • Ability to conduct meeting with all levels of bank employees including senior management. 
  • Ability to speak effectively with third parties to procure information.
  • Ability to analyze a variety of situations and develop recommendations on the best course of action.
  • Strong interpersonal communication and relational skills with the ability to effectively lead and work with individuals and groups at all organization levels.
  • Ability to work independently and as part of a team. 
  • Excellent organizational and project management skills; sound judgment; initiative; flexibility; detail and results oriented.
  • Proficient in Microsoft Office, including Word, Excel, Access, Outlook and PowerPoint.  Preferably in managing an Access database and ability to create formulas and pivot tables in Excel.
  • Computer networking and security fundamentals.
  • Previous experience in banking a plus.
